ChatMe Payment Merchant Authorization Agreement

Thank you for choosing ChatMe Payment Platform! To ensure a smooth integration and usage of ChatMe Payment Platform's services, you (hereinafter referred to as "Merchant") must authorize the development team to use the API interface for transaction processing and fund settlement. This agreement outlines the rights and obligations of both parties to regulate the collaboration between merchants and the platform.


Chapter 1: Definitions

1.1 ChatMe Payment Platform: Refers to the payment service platform provided by ChatMe, supporting transactions and fund settlements between merchants and consumers. 1.2 Merchant: Individuals or companies selling goods or services and receiving payments via ChatMe Payment Platform. 1.3 Development Team: The authorized technical service team responsible for assisting merchants with integrating ChatMe Payment Platform's API interface. 1.4 API Interface: The application programming interface provided by ChatMe Payment Platform, allowing merchants and their development team to exchange payment data and settle funds.


Chapter 2: Scope of Authorization

2.1 Authorized Content The merchant authorizes the development team to use ChatMe Payment Platform's API interface to perform the following actions:

  • Initiating Payment Requests: Calling the API to initiate payment requests for handling consumer transactions.

  • Transaction Queries: Accessing the API to query transaction statuses, records, and other payment-related data.

  • Fund Settlements: Using the API to process fund settlements, transferring transaction funds into the merchant’s designated account.

2.2 Purpose of Use The authorization is limited to functions related to payment services and cannot be used for any illegal or unauthorized purposes. The development team must operate within the scope of the merchant's authorization and is prohibited from using the API beyond the permitted boundaries.

2.3 Authorization Period This authorization remains valid during the merchant's registration and normal usage of ChatMe Payment services or until this agreement is terminated for any reason.


Chapter 3: Merchant's Responsibilities and Obligations

3.1 Information Provision The merchant is required to provide necessary information as requested by the platform, including but not limited to business licenses, legal representative information, and bank account details. The merchant is responsible for ensuring the accuracy and validity of the provided information.

3.2 Security Responsibility The merchant must take appropriate security measures to safeguard API keys and other access credentials. Any breach of security due to the merchant’s or development team’s mismanagement of these credentials will be the merchant's sole responsibility.

3.3 Legal Use The merchant guarantees that all transactions conducted via ChatMe Payment Platform are legal and compliant with applicable laws. Any fraudulent activity, money laundering, or illegal transactions conducted on the platform will result in the suspension or termination of the merchant’s payment services.


Chapter 4: Responsibilities and Obligations of the Development Team

4.1 Interface Maintenance The development team is responsible for maintaining and managing the API interface within the authorized scope, ensuring the normal operation of the payment function. If issues arise during API usage, the development team must promptly report and assist in resolving them.

4.2 Data Confidentiality The development team must adhere to strict confidentiality obligations and shall not disclose the merchant’s transaction information, user data, or account details to any unrelated third party. The development team is liable for any data breaches resulting from negligence.

4.3 Service Support The development team is responsible for providing the necessary technical support and API integration services to ensure smooth API operation with the merchant's system. This includes, but is not limited to, interface testing, issue troubleshooting, and technical guidance.


Chapter 5: ChatMe Payment Platform’s Rights and Obligations

5.1 API Stability ChatMe Payment Platform is obligated to ensure the stability of the API interface and provide necessary technical documentation and support to assist merchants and development teams in successfully integrating the payment system.

5.2 Fees and Service Updates ChatMe Payment Platform reserves the right to optimize and update the API interface based on business needs. Any updates will be communicated to the merchant and the development team in advance. API usage may incur service fees, and the fee schedule will be published on the platform.

5.3 Termination of Authorization ChatMe Payment Platform reserves the right to suspend or terminate the merchant’s authorization to use the API interface if the merchant or development team violates this agreement or relevant laws. The platform will investigate the circumstances and retains the right to pursue legal action if necessary.


Chapter 6: Fees and Settlement

6.1 Fee Standards ChatMe Payment Platform charges service fees based on the merchant’s transaction volume, frequency of transactions, and the number of API calls. The fee structure is determined by the platform’s published rates or through individual agreements with the merchant.

6.2 Fee Payment The merchant is required to pay all fees associated with the use of the API interface in a timely manner. The platform will periodically generate bills based on the merchant’s transaction activity, and the merchant must complete the payment within the specified time frame. Failure to pay fees on time may result in the suspension of API services.


Chapter 7: Termination and Renewal of Agreement

7.1 Termination of Agreement The merchant may terminate this authorization agreement at any time by providing written notice to ChatMe Payment Platform, provided all outstanding fees and transactions are settled.

  • If the merchant or development team commits any major violations, ChatMe Payment Platform reserves the right to terminate the agreement without prior notice.

7.2 Agreement Renewal Upon expiration of the authorization period, the merchant may apply for a renewal of the agreement, subject to conditions agreed upon by both the merchant and ChatMe Payment Platform.


Chapter 8: Dispute Resolution

8.1 Dispute Negotiation Any disputes arising from this agreement should first be resolved through friendly negotiations between the merchant, the development team, and ChatMe Payment Platform.

8.2 Jurisdiction If disputes cannot be resolved through negotiation, the parties agree to submit the dispute to the court with jurisdiction over the location of the platform, and the applicable laws of that jurisdiction will govern the resolution.


Chapter 9: Miscellaneous

9.1 Matters not covered in this agreement will be resolved through joint negotiations between the merchant, the development team, and ChatMe Payment Platform. Any modifications or supplemental agreements must be in writing.

9.2 ChatMe Payment Platform reserves the right to interpret and enforce this agreement.
